How does this change affect me?

Great-West Life & Annuity Insurance Company will be branded as Great-West Financial℠. The legal name, Great-West Life & Annuity Insurance Company, is not changing. First Great-West Life & Annuity Insurance Company will be renamed Great-West Life & Annuity Insurance Company of New York and will also be branded as Great-West FinancialSM. Maxim Series Fund, Inc. will be renamed Great-West Funds, Inc., Orchard Trust Company, LLC will be renamed Great-West Trust Company, LLC, and GW Capital Management, LLC will be renamed Great-West Capital Management, LLC. All name changes will be effective September 24, 2012, subject to required regulatory approvals and filings. The changes will appear on our marketing materials, advertising, statements, confirmations, websites and other communications over the coming weeks and months.

Why are you making this change?

We want to drive greater brand awareness and recognition and unify all of our companies and business segments under a consistent naming convention.

How does this change affect me?

The change to our new brand will not change the way you do business with us. It is simply a new brand at the corporate level that cascades to our other companies and business segments. It carries with it a new name, logo and design—all of which will be evident in our communication materials and websites over the coming months. And while there are legal name changes to some of our companies, you will not have to do anything related to any existing contracts you may have with those companies.

How does this change affect my clients?

The change to our new brand will have no impact on your clients. They will see a new logo and name, but nothing else changes for them.

Will you be notifying my clients of this change?

Yes, we will start sending notification letters to your clients the week of September 24, 2012. We will notify brokers before these notifications are mailed to clients.

Will our contracts change?

No, contract terms will not change. You will only see brand-related changes to Great-West Life & Annuity Insurance Company. Additionally, the First Great-West Life & Annuity Insurance Company name will be legally changed and may be reflected in some of our contractual language and forms. You will also receive an endorsement in the mail reflecting the new name and confirming that no terms, conditions or benefits have changed.

Will you still sell the same products?

Yes, we have not made any changes to our product lines.

Are any fund lineups changing?

No, only the Maxim fund names will change to Great-West Funds. All fund strategies, underlying investments, and lineups are not changing at this time.

Did my sales contact change?

No, sales contacts have not changed.

Will the phone number change?

No, the existing phone number for the Executive Benefits Markets team will not change.

Will the website change?

Yes, www.gwkeybusiness.com will change to www.greatwest.com/executivebenefits on October 1, 2012, in conjunction with the Andesa administrative system enhancements. This website will have the new logo and brand design. All other functionality will stay the same.

When will the changes happen?

All name changes are effective on September 24, 2012, subject to required regulatory approvals and filings. These changes will then be reflected on communications, materials, reports and statements in phases in the coming weeks and months. You will see these changes reflected on the new Executive Benefits Solutions website at www.greatwest.com/executivebenefits on October 1, 2012.

Can we still use old sales materials and forms?

You can continue to use old sales materials and forms unless they reference First Great-West Life & Annuity Insurance Company, Maxim, or Maxim Series Funds. Because these entities have new legal names, we are updating all materials referencing these companies. If you need materials or forms, visit the website.

Will the First Great-West website still work?

Yes, we will update the First Great-West website to the new brand and to reflect the new legal name, Great-West Life & Annuity Insurance Company of New York. The old First Great-West site will redirect you to the new URL, www.greatwest.com/NY.

Will you be advertising your new brand?

Yes, we will be placing advertisements with various financial services media channels to promote our new brand. These advertisements will begin the week of September 24, 2012.

When will this brand be reflected on websites?

The Executive Benefits Solutions website (previously Key Business) will be updated on October 1, 2012, in conjunction with the Andesa rollout. All other Great-West websites will be updated on September 24, 2012.

Will my Web access change?

No, Web access will remain the same. Beginning October 1, 2012, we will launch our new administrative system, Andesa. With this new system, our current website functionality and reporting will be enhanced. All name changes will be reflected in this new system on October 1.

Will the new website have the same functionality to perform transactions?

Yes, you will still be able to perform all of your day-to-day transactions via the website. Functionality will not be impacted by the brand change on September 24. On October 1, we will transition to the new Executive Benefits Solutions website with Andesa at www.greatwest.com/executivebenefits. This will be a seamless transition and there should be no impact to the day-to-day transactions you normally perform on this website.

Will the daily rebalancing/transfer files require any changes?

No, these files will not require any changes. The confirmation that we send back to you, however, will have our new brand and logo starting September 24.

Will I continue to have access to the same reports, statements, fund fact sheets and prospectuses?

Yes, you will have access to the same reports, statements, fund fact sheets and prospectuses. Reports, statements and prospectuses will have the new logo, brand and fund names beginning September 24, 2012. The fund fact sheets will be updated on October 29, 2012.

Is anything else changing?

No. Beyond the name, logo and brand changes, it’s business as usual. You will continue to work with the representatives you work with today. Our pricing structure, your compensation, and any contracts you may have with our companies remain intact and as they are today.
